Terms of Service
These Terms of Service (“Terms”) govern access to and use of the websites, products, and services offered by MagnetX (dba MagUp) (“MagUp,” “we,” “our,” or “us”), including https://magup.ai/, related console or platform experiences, GEO reports, and related professional or technical services that link to these Terms (collectively, the “Services”).
By accessing, registering for, ordering, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Services. Your use of the Services is also subject to our Privacy Policy.

1. Acceptance and Changes
These Terms form a binding agreement between you and MagUp regarding the Services. We may update these Terms for business, product, or legal reasons. We will post the revised Terms on this page and update the “Last updated” date. Where required or appropriate, we may also provide notice by email or in-product message. Continued use of the Services after the effective date of changes constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Services.
If you enter into a separate written agreement with MagUp (such as an order form, statement of work, or master services agreement), that agreement controls to the extent of any conflict with these Terms for the covered Services.
2. Services Description
MagUp provides Generative Engine Optimization (GEO) and related AI-visibility services. Depending on the offering you purchase or use, the Services may include visibility diagnosis, monitoring across AI answer surfaces, citation and content guidance, reports or dashboards, platform tooling, and related consulting or implementation support.
Features, deliverables, formats, and timelines are described on the applicable order page, confirmation, product documentation, or separate written agreement. We may improve, modify, or discontinue features with reasonable notice where practicable.
Deliverables. Reports, exports, and similar outputs (“Deliverables”) may be provided through your account, email, download links, or other agreed channels. Download links may expire as stated in product or order terms; please retain your own copies within the stated access period.
Deliverables are informational and based on information you provide, public or licensed data sources, and model or third-party outputs. They do not guarantee rankings, citations, recommendation rates, revenue, or other business outcomes.
3. Accounts and Acceptable Use
You must provide accurate registration and contact information and keep it current. You are responsible for safeguarding credentials, API keys, and access tokens, and for all activity under your account.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:
- Upload, submit, or request generation of unlawful, infringing, deceptive, defamatory, or harmful content;
- Probe, scan, or attack our systems; bypass rate limits, access controls, or security measures; or introduce malware;
- Scrape, harvest, or systematically extract data from the Services beyond documented APIs and reasonable use;
- Reverse engineer, decompile, or attempt to derive source code or models except where mandatory law permits;
- Use the Services to build or train a competing product using MagUp proprietary materials without our written consent;
- Misrepresent your identity or affiliation, or use the Services in a way that harms MagUp, other customers, or third parties.
We may investigate suspected misuse and suspend or limit access where reasonably justified.
4. Fees, Payment, and Refunds
Fees may be usage-based, package-based, subscription-based, or otherwise as shown on the order page or written agreement. Unless stated otherwise, amounts are due as invoiced or at checkout. You are responsible for applicable taxes except taxes based on MagUp’s net income.
Payment and delivery. Paid orders are accepted and fulfillment begins after MagUp confirms receipt of payment (or as otherwise agreed in writing). Delays by payment processors or banks do not change MagUp’s delivery start based on payment confirmation.
Refunds. Digital Services and Deliverables are generally non-refundable once generated or substantially delivered, except where required by law or where MagUp fails to deliver a material obligation. In that case, contact us promptly; MagUp may provide rework, extended access, or a partial refund for the unfulfilled portion, as appropriate. Specific refund rules in an order or product page control when stated.
5. Intellectual Property and Customer Content
MagUp and its licensors own the Services, software, interfaces, documentation, trademarks, templates, workflows, and other MagUp materials. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
You retain ownership of content, brand materials, URLs, prompts, and data you submit (“Customer Content”). You grant MagUp a non-exclusive, worldwide license to host, process, transmit, and use Customer Content as needed to provide, secure, and improve the Services, and as otherwise described in the Privacy Policy.
Subject to your payment and compliance with these Terms, MagUp grants you a non-exclusive, non-transferable license to use Deliverables for your internal business purposes within the agreed scope. Unless agreed in writing, you may not resell, white-label, or publicly present Deliverables as MagUp’s endorsement of your products or claims.
You represent that you have the rights necessary to submit Customer Content and that MagUp’s use of Customer Content as permitted by these Terms will not infringe third-party rights or violate applicable law.
6. Availability and Third-Party Dependencies
We aim to keep the Services reasonably available, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance and will try to give advance notice for planned downtime when practicable.
The Services may depend on third-party networks, cloud providers, AI models, search or answer engines, and data vendors. Changes, outages, rate limits, or policy shifts by those third parties may affect accuracy, coverage, or availability. MagUp is not responsible for third-party platforms you choose to connect or for results those platforms produce.
7. Confidentiality
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential (“Confidential Information”). The receiving party will use Confidential Information only to perform under these Terms and will protect it with reasonable care. Confidential Information does not include information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party without confidentiality duty. Disclosure required by law is permitted with prior notice where legally allowed.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MAGUP DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MAGUP DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY PARTICULAR AI VISIBILITY, CITATION, OR RECOMMENDATION OUTCOME, OR BE FREE OF ERRORS OR INTERRUPTIONS.
MagUp is not responsible for decisions you make based on Deliverables or for actions of third-party AI systems that cite, omit, or characterize your brand.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGUP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You will defend and indemnify MagUp and its affiliates, officers, and employees against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Services in violation of these Terms or law, or your infringement of third-party rights, except to the extent caused by MagUp’s willful misconduct.
11. Suspension and Termination
You may stop using the Services at any time. MagUp may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, create risk to the Services or other users, or if required by law. MagUp may also discontinue the Services with reasonable notice where practicable.
Upon termination, your right to access the Services ends. Provisions that by nature should survive (including IP ownership, confidentiality, disclaimers, limitation of liability, indemnification, and governing law) will survive. Handling of personal data after termination is described in the Privacy Policy. Licenses to Deliverables already paid for and delivered continue as stated in these Terms or your order, unless terminated for your material breach.
12. Governing Law and Disputes
These Terms are governed by applicable law , without regard to conflict-of-law rules.
The parties will first attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes will be resolved in a court or forum of competent jurisdiction, except where mandatory consumer or local law requires otherwise.
13. Miscellaneous
These Terms, together with the Privacy Policy and any applicable order or written agreement, are the entire agreement between you and MagUp regarding the Services and supersede prior or contemporaneous understandings on that subject. If any provision is held unenforceable, the remainder remains in effect. MagUp’s failure to enforce a provision is not a waiver. You may not assign these Terms without MagUp’s prior written consent; MagUp may assign them in connection with a merger, acquisition, or sale of assets. Section titles are for convenience only.
Force majeure events (including natural disasters, war, labor disputes, internet or power failures, epidemic, or government action) excuse delayed performance for so long as the event continues, except for payment obligations already due.
